pro nákup služeb a digitálního obsahu

Ve VOP najdete všechny důležité právní informace týkající se prodeje produktů a služeb prostřednictvím webových stránek www.lenkaszasziova.cz. VOP obsahují informace, které potřebujete mít k dispozici před tím, než kliknete na objednávací tlačítko. Obsahují i tzv. sdělení pro spotřebitele před uzavřením smlouvy ve smyslu § 1820 občanského zákoníku. Před vlastním uzavřením smlouvy projevujete svůj souhlas s VOP zaškrtnutím příslušného okénka v závěru objednávkového formuláře. VOP se tím stanou součástí uzavřené smlouvy a budou i pro Vás závazné.

Všeobecné obchodní podmínky  pro nákup služeb a digitálního obsahu 

Tyto všeobecné obchodní podmínky (dále jen „obchodní podmínky“) jsou sepsány v souladu s ustanoveními § 1751 a násl. zákona č. 89/2012 Sb., občanský zákoník (dále jen „občanský zákoník“) a upravují práva a povinnosti při uzavírání smlouvy s prodávajícím / poskytovatelem služeb a digitálního obsahu:

(dále jen „Poskytovatelka“)

I. Úvodní ustanovení 

1. Tyto všeobecné obchodní podmínky upravují vzájemná práva a povinnosti fyzické osoby, která uzavírá smlouvu o poskytování služeb nebo smlouvu o poskytování digitálního obsahu mimo svou podnikatelskou činnost jako spotřebitel, nebo fyzické či právnické osoby v rámci své podnikatelské činnosti (dále jen pro tyto subjekty označení: „zákazník“) prostřednictvím webových stránek www.lenkaszasziova.cz a dalších internetových služeb a projektů uvedené Poskytovatelky (společně dále jen „webové stránky“). 

2. Tyto všeobecné obchodní podmínky vymezují práva a povinnosti mezi Poskytovatelkou a zákazníkem, které doplňují uzavíranou smlouvu, a jsou pro tento smluvní vztah závazné. 

3. Ustanovení těchto obchodních podmínek jsou nedílnou součástí smlouvy o poskytování digitálního obsahu nebo smlouvy o poskytování služeb (které při objednání živých akcí mají charakter smlouvy o využití volného času); princip jejich uzavření je popsán níže. Odchylná ujednání ve smlouvě o poskytování digitálního obsahu nebo smlouvě o poskytování služeb mají přednost před ustanoveními těchto obchodních podmínek.

4. Zákazník při smluvním vztahu s Poskytovatelkou souhlasí s použitím komunikačních prostředků na dálku při uzavírání smlouvy.

II. Odpovědnost

1. Zákazník bere na vědomí, že všechny produkty a služby užívá na vlastní riziko a že závisí pouze na něm, jakým způsobem informace využije a jakých výsledků dosáhne. Poskytovatelka neodpovídá za výsledky, které zákazník v souvislosti s užíváním produktu nebo služby zaznamená, ani nenese odpovědnost za jakoukoli případnou majetkovou či nemajetkovou újmu. Zákazník bere na vědomí, že Poskytovatelka není lékařem, psychologem ani psychoterapeutem a neposkytuje zdravotní služby ani psychologickou péči. Zákazník také bere na vědomí, že výsledky služeb jsou individuální a závisí na mnoha faktorech, které Poskytovatelka nemůže ovlivnit - průběh a rychlost změn se u každého zákazníka liší a Poskytovatelka neposkytuje záruku konkrétních výsledků ani jejich časového rámce.

2. Před objednáním produktu či služby je zákazník povinen poradit se se svým ošetřujícím lékařem, psychologem či psychoterapeutem a produkt nebo službu objednat jen v případě, že je pro jeho zdravotní a psychický stav vhodný. Rovněž by měl zákazník konzultovat se svým lékařem, psychologem či psychoterapeutem jakékoli změny svého zdravotního či psychického stavu, k nimž dojde v průběhu užívání produktu nebo služby, a produkt nebo službu dále využívat jen s jejich souhlasem. Zákazník dále bere na vědomí, že produkty s digitálním obsahem nemohou nahradit individuální konzultace.

3. Pokud zákazník využívá služby způsobem přesahujícím jejich účel nebo v rozporu s doporučeními Poskytovatelky, a to i přes upozornění, Poskytovatelka si vyhrazuje právo spolupráci ukončit postupem dle článku VI těchto obchodních podmínek.

4. Pokud zákazník požaduje provedení služby na třetí osobě nebo zvířeti, prohlašuje tím, že je k tomu oprávněn - u nezletilých jako zákonný zástupce, u dospělých osob s jejich informovaným souhlasem a u zvířat jako jejich majitel nebo osoba oprávněná za ně rozhodovat.

5. Jakékoli doplňkové návrhy, doporučení či tipy týkající se potravin, suplementace, bylinných přípravků, homeopatie, pohybových aktivit, cvičení nebo jiných doplňkových a podpůrných metod (např. kraniosakrální terapie, reiki apod.), které mohou v průběhu poskytování služeb zaznít, mají výhradně informativní a vzdělávací charakter. Tyto informace nepředstavují lékařskou diagnózu, lékařský předpis ani stanovení léčebného plánu a jejich využití je zcela na vlastním uvážení a odpovědnosti zákazníka. Poskytovatelka doporučuje před použitím jakéhokoli přípravku nebo zahájením nového cvičení či terapie konzultaci s ošetřujícím lékařem, fyzioterapeutem, lékárníkem nebo jiným příslušným odborníkem.

III. Objednávka a uzavření smlouvy

1. Smluvní vztah (uzavření smlouvy o poskytování digitálního obsahu a/nebo uzavření smlouvy o poskytování služeb) mezi Poskytovatelkou a jejími zákazníky vzniká potvrzením doručené objednávky, která je Poskytovatelkou zaslána zákazníkovi na jeho emailovou adresu, nesjednají-li smluvní strany jinak.

2. Uvede-li zákazník v objednávce své IČO a fakturační údaje, a tedy zamýšlí využít služby či produkty Poskytovatelky v rámci své podnikatelské činnosti, nebude na něj pohlíženo v rámci smluvního vztahu jako na spotřebitele a jeho smluvní vztah s Poskytovatelkou bude posuzován jako smluvní vztah dvou podnikajících osob; pokud zákazník své IČO neuvedl, má se za to, že je v postavení spotřebitele a na vztah s Poskytovatelkou se uplatní ujednání z.č. 634/1992 Sb., o ochraně spotřebitele.

3. Webové stránky Poskytovatelky obsahují seznam a popis nabízených služeb a digitálního obsahu (společně dále jen „produkty“) včetně uvedení ceny jednotlivých produktů a případně zvláštních podmínek pro jejich využití.

4. Pro objednání zákazník provede příslušnou volbu na webových stránkách a vyplní objednávkový formulář, svůj nákup stvrdí příslušným tlačítkem s vyjádřením souhlasu s nákupem a s upozorněním na povinnost platby. Poskytovatelka si vyhrazuje právo sjednat individuálně jiný způsob objednání (např. v rámci domluvy prostřednictvím elektronické komunikace), vždy však potvrdí zákazníkovu objednávku e-mailem či jinou zprávou prostřednictvím elektronické komunikace. 

5. Objednávkový formulář na webových stránkách Poskytovatelky obsahuje zejména informace o objednávaném produktu a povinné údaje k vyplnění pro účely uzavření smlouvy a fakturace, jakož i případné další důležité informace k produktům a platbě.

6. Poskytovatelka bez zbytečného odkladu po obdržení objednávky zákazníkovi potvrdí přijetí objednávky, obvykle e-mailem, na e-mailovou adresu zákazníka.

7. Poskytovatelka není povinna přijmout objednávku a uzavřít smlouvu se zákazníkem. Tato výhrada se sjednává zejména pro osoby, které podstatným způsobem porušily práva či oprávněné zájmy Poskytovatelky, jí spřízněných osob či tyto obchodní podmínky, případně u osob, které jsou v konkurenčním postavení k Poskytovatelce či kde má Poskytovatelka oprávněné podezření, že by využití produktů Poskytovatelky mohlo vést k poškození jména či podnikání Poskytovatelky.

8. Poskytovatelka si vyhrazuje právo, že služby a produkty, prezentované v rámci jí poskytovaných internetových služeb, nemusí být vždy dostupné (například časově omezené kurzy apod.).

IV. Cena a platební podmínky

1. Zákazník získává přístup k produktům po zaplacení plné stanovené ceny, není-li v objednávkovém formuláři či u popisu služby či produktu stanoveno jinak.

2. V rámci objednávkového formuláře je uvedena cena služby či produktu a způsob a forma jejich úhrady. V případě hrazení ceny na základě faktury či proforma faktury se stanovuje lhůta splatnosti v délce trvání 7 dnů. Poskytovatelka je oprávněna lhůtu splatnosti měnit s tím, že zákazník tuto informaci obdrží nejpozději v potvrzení své objednávky.

3. Daňový doklad – fakturu Poskytovatelka zašle v elektronické podobě na e-mailovou adresu zákazníka.

4. V případě, že ze strany zákazníka nedojde k úhradě ceny ani do 5 dnů po její splatnosti, jedná se o podstatné porušení smluvních povinností zákazníka a Poskytovatelka je oprávněna od smlouvy odstoupit, s tím, že se smlouva od počátku ruší.

5. Způsob platby si zákazník vybere či je stanoven při vyplňování objednávkového formuláře. Platba je úspěšně dokončena zobrazením potvrzující zprávy. V případě neúspěšné úhrady je zákazník informován zprávou zobrazenou na platební stránce. 

6. Způsoby platby mohou být napojeny na platební bránu externího dodavatele (GoPay, provozovaný společností GoPay Czech odštěpný závod, IČO 22177469 a Stripe, provozovaný společností Stripe Payments Europe Limited se sídlem v Irsku, IČO: 513174), který poskytuje technologii bezpečného zpracovávání online plateb. 

7. V případě, umožní-li Poskytovatelka úhradu některých svých produktů ve splátkách, je zákazník povinen uhradit celou cenu sjednaného produktu (vč. případného navýšení ceny z titulu poskytnutých splátek), a to i v případě, pokud se sám z důvodů okolností na své straně rozhodne produkt v celém rozsahu nevyužít či využití produktu sám ukončí předčasně. Jestliže zákazník přestane hradit sjednané splátky, je Poskytovatelka oprávněna odepřít mu přístup k produktu zakoupenému na splátky (a to včetně bonusů, které se k zakoupenému produktu vztahovaly), a to až do úhrady celé sjednané ceny produktu. V souladu s ustanoveními občanského zákoníku je Poskytovatelka v případě prodlení zákazníka s úhradou kterékoli splátky oprávněna požadovat úhradu celé dosud nezaplacené ceny produktu najednou (ztráta výhody splátek).

V. Dodací podmínky pro produkty

1. Produkty 

(i) Individuální sezení 

Toto ujednání platí pro všechny druhy individuálních emailových, online, telefonických či živých sezení a konzultací v tzv. režimu 1:1, a to i pro sezení nebo konzultace, které jsou součástí balíčků služeb. Poskytovatelka sjedná se zákazníkem termín sezení přímou domluvou nebo prostřednictvím rezervačního systému. Před konáním sezení nebo konzultace je možné nejpozději ve lhůtě 24 hodin před touto událostí požádat o změnu termínu ze zvlášť závažných důvodů na straně zákazníka (např. nemoc apod.). Tuto možnost lze využít pouze jednou v rámci daného produktu či služby (či balíčku), jinak termín bez náhrady propadá a Poskytovatelce vzniká nárok na úhradu celé ceny, a to z důvodů závazné rezervace termínu pro zákazníka. V případech zvláštního zřetele hodných je možné požádat o individuální domluvu, právo na změnu však nevzniká automaticky. Toto ujednání se nedotýká těch produktů a služeb, kdy jsou domlouvány hromadné osobní či online konzultace či online workshopy pro skupinu účastníků; v takovém případě je individuální změna termínů vyloučena a termín bez náhrady propadá. Poskytovatelka stanovuje, že jednotlivá sezení nebo konzultace (a to i v případě balíčků, není-li v popisu produktu stanoveno jinak) musí být vybrány v předem stanoveném období, po uplynutí tohoto stanoveného období nárok na čerpání těchto služeb bez náhrady propadá. Jakmile dojde k závazné domluvě o termínu, není na straně zákazníka možný odklad či posunutí, nedohodne-li se s Poskytovatelkou jinak. Poskytovatelka si vyhrazuje právo uvést na svých stránkách podrobnější pravidla pro sezení a konzultace. Toto ujednání se uplatní přiměřeně i pro konzultace poskytované prostřednictvím e-mailu. Pokud Poskytovatelka nemůže poskytnout službu ve sjednaném termínu z důvodů na její straně (nemoc, technické problémy aj.), informuje zákazníka bez zbytečného odkladu, nejpozději 24 hodin předem, je-li to možné. Zákazník má nárok na náhradní termín dle kapacitních možností Poskytovatelky, nebo na vrácení uhrazené ceny, pokud zákazník nemá zájem o náhradní termín, nebo na poskytnutí alternativní služby v obdobné hodnotě po vzájemné dohodě. Při nemožnosti poskytnutí služby z důvodů vyšší moci (výpadek internetu, elektrické energie, přírodní katastrofa aj.) postupuje Poskytovatelka obdobně, ale nenese odpovědnost za případné škody vzniklé zákazníkovi. Toto ustanovení se nevztahuje na situace, kdy zákazník nedodrží technické požadavky nezbytné pro čerpání služby.

(ii) On-line kurzy

Při koupi on-line kurzu může být Poskytovatelkou zákazníkovi po uhrazení ceny vytvořen uživatelský účet, nebo je kurz šířen jiným způsobem (např. e-mailová forma apod.). Způsob šíření kurzu sdělí Poskytovatelka zákazníkovi předem. Je-li to s ohledem na návaznost obsahu efektivní, budou jednotlivé lekce zpřístupňovány postupně, dle harmonogramu stanoveného Poskytovatelkou.

(iii) Materiály ke stažení či zhlédnutí

V případě produktů, které se stahují z webového prostředí (pdf materiály, audio nahrávky, záznamy webinářů a další audiovizuální záznamy apod.) nebo které je možné zhlédnout ze záznamu, zašle Poskytovatelka zákazníkům odkazy či další přístupové údaje, na jejichž základě jim bude umožněno si zakoupený produkt stáhnout či zhlédnout. Podmínkou k zaslání takovýchto odkazů či přístupových údajů je plná úhrada ceny takovéhoto produktu či splnění jiných podmínek stanovených Poskytovatelkou (např. zadání osobních údajů do formuláře apod.). 

(iv) Skupinové online konzultace a skupinová setkávání (webináře apod.)

Skupinové online konzultace a setkávání pro skupinu účastníků budou dodány dle podmínek uvedených v popisu služby na webu. V případě skupinových online akcí není možné požádat o změnu termínu z důvodů na straně zákazníka a v případě neúčasti uhrazená cena či její část propadá. Poskytovatelka si vyhrazuje právo zrušit online skupinovou akci (celou či její část jako např. jednu lekci nebo setkání) při nižším počtu přihlášených zákazníků či zásahu vyšší moci. V takovém případě bude Poskytovatelka zákazníky včas informovat, jakož i o přijatém řešení (změna termínu, vrácení ceny apod.). V případě online skupinových programů, které mají charakter události na využití volného času, je vyloučeno odstoupení od smlouvy v souladu s čl. VI. těchto obchodních podmínek.  

2. Balíčky služeb a produktů

Poskytovatelka výslovně stanovuje, že v případě zakoupení „balíčku“ či jinak sestaveného produktu se v případě nevyčerpání všech součástí z důvodů na straně zákazníka uhrazené prostředky za tyto součásti balíčku nevrací; cena je stanovená za balíček, nikoliv za jeho (vyčerpané) části. Poskytovatelka je rovněž oprávněna stanovit lhůtu či období, kdy je možné produkty zahrnuté v balíčku čerpat. Po zmeškání termínu či lhůty právo dočerpat produkty z balíčku či žádat náhradní plnění bez náhrady propadá.

3. Společná pravidla

i) V případě, že Poskytovatelka pro čerpání některých služeb vytvoří pro své zákazníky uživatelské účty, je zákazník v takovém případě povinen dodržovat mlčenlivost o přístupových údajích ke svému uživatelskému účtu a neumožnit jejich použití třetím osobám. Porušení této povinnosti se považuje za zvlášť závažné porušení smluvních povinností s právem Poskytovatelky od této smlouvy z důvodu porušení uvedené povinnosti odstoupit a odepřít takovému zákazníkovi další poskytování produktů a služeb. V takovém případě nemá zákazník nárok na vrácení zaplacené ceny. Zákazník se dále zavazuje udržovat údaje uvedené v uživatelském účtu aktuální a pravdivé.

ii) Poskytovatelka si vyhrazuje právo vyloučit zákazníka z účasti v online kurzu, workshopu, dále vč. účasti ve skupinách Poskytovatelky, či z online skupinových setkání, webinářů, živých akcí apod., pokud zákazník narušuje fungování skupiny, průběh akce či setkání (např. nevhodným chováním, urážením Poskytovatelky, ostatních účastníků apod.). V případě vyloučení z důvodů uvedených v tomto odstavci se jedná o podstatné porušení smluvních povinností zákazníkem a Poskytovatelce vzniká právo odstoupit od smlouvy a odepřít takovému zákazníkovi další poskytování produktů a služeb. V takovém případě nemá zákazník nárok na vrácení zaplacené ceny.

iii) Poskytovatelka si vyhrazuje právo poskytovat produkty pouze po dobu stanovenou v popisu konkrétní služby či produktu, kdy uvedená doba plyne od zaplacení ceny za daný produkt zákazníkem. V případě okolností na straně Poskytovatelky, které spočívají v potřebě prodloužit poskytování doby objednané služby, je Poskytovatelka oprávněna dobu poskytované služby prodloužit. Nestanoví-li Poskytovatelka jinak, je k digitálnímu obsahu a dalším materiálům, které jsou součástí poskytovaných služeb, umožněn přístup po dobu 12 měsíců ode dne uzavření smlouvy. 

iv) Těmito obchodními podmínkami se řídí také právní poměry mezi Poskytovatelkou a zákazníkem, pokud Poskytovatelka poskytne digitální obsah za osobní údaje namísto odměny, tzv. „magnet“ (a Poskytovatelka poskytnuté osobní údaje zpracovává i pro jiné účely než poskytnutí digitálního obsahu nebo splnění svých zákonných povinností).

v) Poskytovatelka zpřístupní zákazníkovi zakoupený digitální obsah v nejnovější verzi dostupné v době uzavření smlouvy o poskytování digitálního obsahu se zákazníkem. Nebude-li v popisu produktu stanoveno jinak, Poskytovatelka neposkytuje aktualizace zakoupeného digitálního obsahu, s výjimkou aktualizací, které jsou nezbytné k tomu, aby byl digitální obsah bez vad po celou dobu trvání smlouvy.  

vi) Digitální obsah dodávaný Poskytovatelkou je ve zcela standardních, běžně dostupných formátech (v případě materiálů ke stažení obvykle ve formě pdf, nahrávky ve formě mp3 či mp4, videa jsou šířena obvykle prostřednictvím platformy youtube či obdobné, pro online setkání Poskytovatelka využívá Zoom či jiné obdobné platformy). Pro užití digitálního obsahu postačuje zákazníkům standardní vybavení (hardware s připojením na internet podporující uvedené technologie; formáty digitálního obsahu poskytované Poskytovatelkou nevyžadují pořízení zvláštního hardwarového či softwarového vybavení). Poskytovatelka neodpovídá za to, že zákazníkovi nebude digitální obsah či přístup k online lekcím dostupný z technických důvodů či z důvodů internetového připojení či obdobných okolností na straně zákazníka a není povinna mu z tohoto důvodu poskytovat jakoukoliv kompenzaci. 

vii) Zákazník je prostřednictvím těchto podmínek předem v rámci smluvního vztahu s Poskytovatelkou  upozorněn (pokud svůj souhlas předem výslovně neodepře, na což má právo), že v případě, bude-li součástí zakoupené služby či produktu skupinová online lekce či online workshop, probíhající prostřednictvím digitální platformy (Zoom apod.), může Poskytovatelka z takovéto lekce či workshopu pořídit záznam a ten použít pro své další účely vč. jeho šíření prostřednictvím sítě internet či emailu v rámci svých podnikatelských aktivit. Na takový případ bude vždy zákazník předem upozorněn. Toto ustanovení se nedotýká osobních individuálních služeb, kdy je záznam pořizován toliko pro osobní potřebu zákazníka. 

viii) Zákazník bere na vědomí, že skutečnosti, které se prostřednictvím služeb Poskytovatelky dozvěděl o produktech, službách a dalších obchodních záležitostech Poskytovatelky a / nebo třetích osob (dalších zákazníků Poskytovatelky), které nejsou běžně známé a dostupné, podléhají povinnosti mlčenlivosti a zákazník není oprávněn je jakkoli šířit. 

4. AI nástroj - předplatné 

Není-li stanoveno jinak, použijí se tato společná pravidla na služby a jednorázové produkty. Na předplatné AI nástroje se použijí pouze v rozsahu výslovně uvedeném v oddílu „Předplatné AI nástroje“. 

Poskytovatelka poskytuje AI nástroj na bázi pravidelného měsíčního předplatného:

(i) Předplatné

Předplatné AI nástroje funguje formou pravidelných plateb za zvolené období (měsíční, čtvrtletní, roční), kdy zákazník hradí cenu za celé předplatné období předem. Po uplynutí zvoleného období se předplatné automaticky obnovuje na stejné období a zákazníkovi je zaslána faktura v předstihu před obnovou o obnovení předplatného, které bude zajišťováno prostřednictvím automatického strhávání plateb skrze poskytovatele služeb platební brány. Zákazník může automatické obnovení předplatného zrušit zasláním e-mailu Poskytovatelce nebo prostřednictvím příkazu “/stop” přímo v rozhraní AI nástroje, a to nejpozději před datem obnovy předplatného. Do doby odeslání zprávy o ukončení je však kupující předplatným vázán a je vázán opakovanými pravidelnými platbami předplatného po stanovenou dobu. Předplatné AI nástroje je určeno pouze pro využití zákazníka, nikoliv pro sdílení přístupu s klienty zákazníka či dalšími osobami odlišnými od zákazníka.

Poskytovatelka pro předplatné zřizuje tarify v různých úrovních možnosti využití AI nástroje, s tím, že je pro předplatitele v případě vyčerpání tarifu možné přikoupit jednorázové balíčky navyšující tarif. Balíček navyšující tarif (jeho nevyčerpanou část) lze mezi jednotlivými měsíci předplatného přenášet, dokud se nevyčerpá. Podrobnosti uvede Poskytovatelka na svých webových stránkách.

Zákazníkům čerpajícím služby Poskytovatelky (individuální sezení) může být dále umožněno zakoupit jednorázové balíčky zpráv jako doplněk k těmto službám. Tyto balíčky nejsou vázány na předplatné AI nástroje, nevztahuje se na ně automatické obnovení a jsou platné do jejich vyčerpání nebo do doby stanovené Poskytovatelkou. Nevyčerpanou část balíčku lze přenášet, dokud se nevyčerpá. Podrobnosti uvede Poskytovatelka na svých webových stránkách.

(ii) Dostupnost

Pro technické řešení AI nástroje využívá Poskytovatelka platformu třetí strany a nemůže tedy ovlivnit nepřetržitou dostupnost (100% fungování) AI nástroje. V případě dlouhodobého výpadku AI nástroje (a to více než 24 hodin nedostupnosti v jednotlivém měsíci, kdy se celkově tento součet nedostupnosti AI nástroje nazývá „limitem“) se zavazuje Poskytovatelka vrátit poměrnou část předplatného za dobu od dosažení limitu do doby opětovné dostupnosti AI nástroje. Délka výpadku se stanovuje na základě dat poskytovatele platformy třetí strany.

(iii) Zpřístupnění AI nástroje

AI nástroj je zákazníkům zpřístupněn prostřednictvím aplikace Telegram, a to pomocí hlasu, textu a datových souborů (pdf, jpg, docx apod.). Veškerá data jsou šifrována a zpracovávána pouze v rozsahu nezbytném pro fungování AI nástroje v souladu se Zásadami zpracování osobních údajů Poskytovatelky.

(iv) Informace o odstoupení od smlouvy

Při poskytování tohoto produktu je možné od smlouvy odstoupit, a to i bez uvedení důvodů, do 14 dnů od jejího uzavření v souladu s čl. VI. těchto obchodních podmínek.  

(v) Další ujednání

Přístupový účet k AI nástroji je nepřenositelný mezi uživateli a pokud tento zákaz zákazník poruší a svůj účet poskytne třetí osobě, je Poskytovatelka oprávněna od smlouvy o poskytování AI nástroje se zákazníkem bez dalšího odstoupit a požadovat k úhradě způsobenou škodu.

Informace obsažené v AI nástroji mohou podléhat ochraně práv duševního vlastnictví Poskytovatelky (korpus AI nástroje obsahuje know-how Poskytovatelky) a bez výslovného písemného souhlasu Poskytovatelky je nelze použít jinak než pro osobní potřebu zákazníka.  

(vi) Výhrada

Sjednává se výhrada pro užití AI nástroje. Zákazník bere na vědomí, že AI nástroj Poskytovatelky je vytvořen za účelem poskytování nezávazných informací a je pravidelně Poskytovatelkou aktualizován. Nicméně jedná se o obecné informace získané prostřednictvím využití nástrojů umělé inteligence uzpůsobené pro oblast služeb Poskytovatelky, nejedná se však v žádném případě o poskytování zdravotních služeb, lékařské diagnostiky, psychoterapeutických služeb a podobně. Poskytovatelka neodpovídá: a) za konkrétní odpovědi poskytované AI nástrojem, b) za aplikaci konkrétních rad a doporučení získaných z odpovědí AI nástroje, c) za jakékoliv další výstupy, které zákazník prostřednictvím AI nástroje získá.

V případě podezření na onemocnění (a to i psychického rázu) si je zákazník vědom, že je třeba, aby vyhledal služby lékaře či jiného odborníka ve zdravotnictví, případně psychoterapeuta. Dále se uplatní ujednání čl. II a čl. VIII. odst. 1 těchto obchodních podmínek.

Zákazník dále bere na vědomí, že AI nástroj nenahrazuje absolvování certifikačního vzdělání metod od Dr. Bradley Nelsona (Emoční kód, Body Code, Belief Code).

VI. Odstoupení od smlouvy

1. Zákazník je oprávněn od smlouvy uzavřené s Poskytovatelkou odstoupit, stanoví-li tak uzavřená smlouva, tyto obchodní podmínky nebo příslušná ustanovení občanského zákoníku. Obecně má zákazník v postavení spotřebitele u smluv uzavřených distančním způsobem dle § 1829 občanského zákoníku právo od smlouvy odstoupit ve lhůtě 14 dní ode dne uzavření smlouvy. Toto právo je u zákazníka v postavení podnikatele vyloučeno.

2. Upozornění na výjimku odstoupení od smlouvy uzavřené na dálku u digitálního obsahu pro spotřebitele: není-li u konkrétního produktu typu digitální obsah stanoveno jinak, Poskytovatelka informuje zákazníka prostřednictvím svých stránek a zákazník výslovně uděluje prostřednictvím možností na stránkách Poskytovatelky souhlas, že je mu digitální obsah zpřístupněn bezodkladně po zaplacení kupní ceny. V takovém případě pak zákazník ztrácí právo na odstoupení od smlouvy ve 14denní lhůtě od uzavření smlouvy o poskytnutí digitálního obsahu. Z důvodu těchto okolností hodných zvláštního zřetele je u digitálního obsahu nabízeného prostřednictvím stránek či dalších internetových služeb Poskytovatelky vyloučena možnost odstoupit v uvedené lhůtě do 14 dnů od smlouvy uzavřené způsobem na dálku a požadovat vrácení celé uhrazené ceny. 

3. Zákazník v postavení spotřebitele je oprávněn od smlouvy o poskytnutí digitálního obsahu uzavřené způsobem na dálku odstoupit v případě, nedodá-li Poskytovatelka digitální produkt bezodkladně po jeho zaplacení nebo v dodatečné lhůtě stanovené zákazníkem (pokud není výslovně v popisu produktu stanoveno pozdější datum dodání).  Zákazník může od smlouvy odstoupit bez dodatečné lhůty jen v případě, že je z prohlášení Poskytovatelky nebo z okolností zjevné, že Poskytovatelka digitální obsah neposkytne anebo vyplývá-li z ujednání stran nebo z okolností při uzavření smlouvy, že je plnění v určeném čase nezbytné. Výslovně se však stanovuje, že toto ujednání se nepoužije v případě tzv. předprodejů a dalších případů, kdy je stanoveno pozdější datum dodání plnění.

4. Sjednání živých akcí stanovených v určitém termínu a na určité období se považuje za smlouvu o využití volného času a odstoupení od smlouvy spotřebitelem je v souladu s ust. § 1837 občanského zákoníku vyloučeno.   

5. Zákazník v postavení spotřebitele nemá právo odstoupit od smlouvy o poskytnutí služeb, jestliže byly v plném rozsahu poskytnuty a k započetí plnění došlo se souhlasem zákazníka před uplynutím 14denní lhůty pro odstoupení od smlouvy. Pokud byly služby poskytnuty pouze částečně, může zákazník od smlouvy odstoupit, je však povinen zaplatit Poskytovatelce částku za plnění, které bylo před odstoupením od smlouvy poskytnuto. Pokud byla Cena za služby již zaplacena, vrátí Poskytovatelka zákazníkovi pouze částku za neposkytnuté služby.

6. Odstoupení zákazník může učinit prostřednictvím veřejného formuláře pro odstoupení od smlouvy dostupného skrze tlačítko či obdobného ovládacího prvku umístěného na webu Poskytovatelky v patičce webu a označeného nápisem „Odstoupit od smlouvy“ nebo obdobným. Dále může zákazník odstoupení učinit e-mailem na adresu uvedenou v záhlaví těchto obchodních podmínek nebo písemně na adresu místa podnikání Poskytovatelky uvedenou v úvodu těchto obchodních podmínek. Zákazník může rovněž využít vzorový formulář pro odstoupení od smlouvy přiložený k těmto obchodním podmínkám. Odstoupení od smlouvy postačuje prokazatelně odeslat Poskytovatelce i poslední den 14denní lhůty od uzavření smlouvy. V případě řádně učiněného odstoupení od smlouvy Poskytovatelka potvrdí zákazníkovi v textové podobě přijetí odstoupení bez zbytečného odkladu a vrátí přijaté peněžní prostředky nejpozději do 14 dnů od přijetí odstoupení. 

7. Poskytovatelka je oprávněna od smlouvy odstoupit, jestliže není možné z objektivních důvodů digitální obsah či službu za původních podmínek poskytnout, plnění se stane objektivně nemožným nebo protiprávním, v případě podstatného porušení těchto podmínek či smlouvy zákazníkem, zejména z důvodů urážejícího a podobného jednání zákazníka, dále pokud by v průběhu spolupráce vyšlo najevo, že daný produkt nebo služba není pro zdravotní či psychický stav zákazníka vhodný, nebo pokud by došlo k neoprávněným zásahům do webového rozhraní, porušení autorských práv nebo povinnosti mlčenlivosti apod. V případě odstoupení je Poskytovatelka oprávněna digitální obsah zákazníkovi okamžitě znepřístupnit a veškeré služby mu přestat poskytovat. Odstoupení Poskytovatelky bude vždy zdůvodněno ze zákonem stanovených nebo v těchto podmínkách uvedených důvodů. Odstoupení je účinné doručením oznámení zákazníkovi. 

VII. Reklamační podmínky pro nákup služeb a produktů

1. Zákazník je oprávněn uplatnit svá práva z vadného plnění v případě, že poskytnutá služba nebo digitální obsah vykazují vadu či jiný rozpor se smlouvou a objednávkou. Práva z vadného plnění se řídí platnými právními předpisy, zejména ust. § 1914 až 1925 občanského zákoníku. U služeb se použijí přiměřeně ustanovení § 2099 až 2112 občanského zákoníku a v souvislosti s ust. § 2615 přiměřeně také ustanovení o smlouvě o dílo. U digitálního obsahu se práva řídí ustanoveními § 2389a až 2389s občanského zákoníku (pro spotřebitele zejména § 2389g až 2389s občanského zákoníku).

2. Poskytovatelka odpovídá za to, že služba či digitální obsah při převzetí (zpřístupnění) nemají vady a jsou poskytovány v souladu se smlouvou. Vadu je zákazník povinen uplatnit u Poskytovatelky bez zbytečného odkladu po jejím zjištění, a to e-mailem na adresu uvedenou v záhlaví těchto obchodních podmínek, případně prostřednictvím příslušného formuláře na webových stránkách Poskytovatelky. V reklamaci zákazník uvede své identifikační údaje, označení produktu nebo služby, popis vytýkané vady a požadovaný způsob vyřízení reklamace.

3. Zákazník v postavení podnikatele je povinen vytknout vadu bez zbytečného odkladu poté, co ji mohl při včasné prohlídce a dostatečné péči zjistit. Zákazník v postavení spotřebitele je oprávněn vytknout vadu služby bez zbytečného odkladu po jejím zjištění, přičemž právo z vady se promlčí ve třech letech. U jednorázově poskytovaného digitálního obsahu může spotřebitel vytknout vadu, která se projeví v době dvou let od jeho zpřístupnění (§ 2389o občanského zákoníku). U digitálního obsahu či služeb poskytovaných po určitou dobu odpovídá Poskytovatelka za vady, které se vyskytnou po celou dobu jejich trvání (§ 2389p občanského zákoníku). 

4. Poskytovatelka odpovídá za to, že služba je poskytnuta v rozsahu, podobě a kvalitě, která byla sjednána, popsána v nabídce na webových stránkách, popřípadě která je pro daný druh služeb obvyklá (ve střední jakosti). Vadu služby musí zákazník Poskytovatelce vytknout (reklamovat) bez zbytečného odkladu poté, kdy měl možnost vadu zjistit, nejpozději do 6 měsíců od převzetí služby. Zákazník může primárně požadovat bezplatné odstranění vady služby (např. náhradní termín nebo dodatečné poskytnutí neproběhlé části konzultace), je-li to možné. Není-li odstranění vady možné nebo jej Poskytovatelka odmítne, může zákazník požadovat přiměřenou slevu z ceny nebo od smlouvy odstoupit. Zákazník není oprávněn od smlouvy odstoupit, jedná-li se o vadu nevýznamnou. Přiměřená sleva se určí jako rozdíl mezi hodnotou služby bez vady a hodnotou vadně poskytnuté služby. Má-li být služba poskytována po určitou dobu, zohlední se doba, po kterou byla poskytována vadně. 

5. Poskytovatelka odpovídá za to, že digitální obsah odpovídá ujednanému popisu, rozsahu, funkcionalitě, kompatibilitě a je dodán s veškerým příslušenstvím a pokyny k užívání. V případě vady digitálního obsahu může zákazník primárně požadovat její odstranění (např. opětovné zaslání funkčního souboru nebo obnovení přístupu do členské sekce), ledaže je to nemožné nebo nepřiměřeně nákladné. Pokud Poskytovatelka vadu neodstraní v přiměřené době, odmítne ji odstranit nebo se vada projeví i po opravě, má zákazník v postavení spotřebitele právo na přiměřenou slevu nebo na odstoupení od smlouvy. Odstoupit od smlouvy nelze, je-li vada digitálního obsahu nevýznamná.

6. Bez zbytečného odkladu po obdržení reklamace (zpravidla do 3 pracovních dnů) Poskytovatelka zákazníkovi na jeho e-mailovou adresu potvrdí přijetí reklamace, datum uplatnění a předpokládanou dobu jejího vyřízení. Reklamaci včetně odstranění vady vyřídí Poskytovatelka bez zbytečného odkladu, nejpozději však do 30 dnů ode dne jejího uplatnění, pokud se se zákazníkem písemně nedohodne na delší lhůtě. Po marném uplynutí této lhůty má spotřebitel právo od smlouvy odstoupit nebo požadovat přiměřenou slevu. O výsledku a způsobu vyřízení reklamace Poskytovatelka vyrozumí zákazníka e-mailem.  Je-li reklamace uznána jako oprávněná, náleží zákazníkovi rovněž náhrada účelně vynaložených nákladů spojených s uplatněním reklamace, které zákazník prokáže.

7. Peněžité částky, které má Poskytovatelka z důvodu vadného plnění vydat zákazníkovi (z titulu přiměřené slevy či odstoupení od smlouvy), vrátí Poskytovatelka na vlastní náklady bez zbytečného odkladu, nejpozději však do 14 dnů ode dne, kdy zákazník uplatnil příslušné právo z vadného plnění. Peněžní prostředky budou vráceny stejným způsobem, jakým byla cena původně uhrazena, pokud zákazník výslovně nesouhlasí s jiným způsobem vrácení.

8. Reklamaci nelze uplatnit pouze z důvodu, že poskytnutá služba nebo digitální obsah nesplnily subjektivní očekávání či představy zákazníka. Reklamace je oprávněná pouze v případě objektivního rozporu se smlouvou, popisem produktu nebo platnými právními předpisy.

VIII. Autorská práva a mlčenlivost

1. Veškerý obsah na Webu a veškeré Produkty jsou autorským dílem Poskytovatelky. Poskytovatelka zpřístupňuje Produkt Zákazníkovi výhradně pro jeho vlastní osobní potřebu. Produkt (ani jakoukoli jeho část), ať už v původní či změněné podobě, není možné bez předchozího výslovného písemného souhlasu Poskytovatelky sdílet, kopírovat, šířit nebo umožnit jeho užití dalším osobám.

2. Zákazník má povinnost zachovávat mlčenlivost ohledně přístupových údajů k zakoupeným produktům a digitálnímu obsahu, včetně přístupu k AI nástroji prostřednictvím aplikace Telegram. Zákazník není oprávněn tyto přístupové údaje ani přístup samotný poskytnout třetím osobám.

3. V případě, že Zákazník autorská práva nebo povinnost mlčenlivosti poruší, je Poskytovatelka oprávněna zákazníkovi okamžitě a bez náhrady znepřístupnit digitální obsah Produktu i přístup k AI nástroji a požadovat vydání bezdůvodného obohacení a náhradu škody. Tyto peněžní nároky Poskytovatelky jsou splatné do 14 dnů ode dne doručení výzvy k jejich úhradě na e-mailovou adresu zákazníka. Porušení autorských práv je dále postižitelné podle autorského zákona a podle trestněprávních předpisů.

IX. Závěrečná ustanovení

1. Poskytovatelka poskytuje produkty v rozsahu a způsobem uvedených v jejich popisu na webových stránkách. Poskytovatelka neodpovídá za to, že po využití jí poskytované služby získá zákazník automaticky osobní či zdravotní prospěch nebo jiné konkrétní výhody a výsledky. Poskytovatelka výslovně upozorňuje zákazníka, že neposkytuje zdravotní služby nebo psychoterapeutické služby a upozorňuje zákazníka, že v případě zdravotních problémů (a to i poruch duševního zdraví) je nezbytné, aby vyhledal lékaře s odbornou specializací či jiného odborníka ve zdravotnictví. Využití služeb Poskytovatelky a aplikace získaných zkušeností je zcela na odpovědnosti a posouzení vhodnosti využití na straně zákazníka. Poskytovatelka výslovně upozorňuje, že informace na jejích webových stránkách mají pouze informační charakter a nejsou nijak určeny k diagnostice, prevenci či léčení nemocí vč. psychiatrických onemocnění. Všechny zveřejněné zkušenosti klientů a hodnocení nepředstavují garanci, záruku nebo předpoklad pro stejný výsledek konzultace, jsou to pouze jejich individuální zkušenosti.  

2. V případě vzniku sporu mezi Poskytovatelkou a spotřebitelem se strany zavazují pokusit se o smírné řešení. Spotřebitel má právo na mimosoudní řešení spotřebitelského sporu u České obchodní inspekce (Ústřední inspektorát - oddělení ADR, Štěpánská 15, 120 00 Praha 2, web: www.coi.cz, e-mail: adr@coi.cz). 

3. Jakékoli hodnocení produktů nebo služeb Poskytovatelky (recenze), které je uvedeno na webových stránkách nebo sociálních sítích Poskytovatelky, pochází od zákazníků, kteří produkt nebo službu skutečně zakoupili a jejichž objednávka je evidována v systému Poskytovatelky.

4. Ustanovení odchylná od obchodních podmínek je možné sjednat ve smlouvě uzavřené mezi Poskytovatelkou a zákazníkem. Odchylná ujednání ve smlouvě mají přednost před ustanoveními všeobecných obchodních podmínek.

5. Ustanovení o ochraně osobních údajů a nakládání s cookies naleznete v dalších sekcích webu Poskytovatelky.

6. Poskytovatelka určuje jednotné kontaktní místo, kterým je její e-mailová adresa uvedená výše v těchto obchodních podmínkách, prostřednictvím které lze s Poskytovatelkou komunikovat v českém, případně anglickém jazyce.

7. Znění těchto všeobecných obchodních podmínek může Poskytovatelka měnit či doplňovat a tyto změny jsou účinné zveřejněním nových všeobecných obchodních podmínek (jejich změn) na webu Poskytovatelky. Tímto ustanovením nejsou dotčena práva a povinnosti vzniklá po dobu účinnosti předchozího znění obchodních podmínek.

8. Ujednání těchto podmínek se řídí českým právem, a to i pro zákazníky s jiným domicilem, než je Česká republika. 

9. Je-li některé ustanovení obchodních podmínek neplatné nebo neúčinné, nebo se takovým stane, namísto neplatných ustanovení nastoupí ustanovení, jehož smysl se neplatnému ustanovení co nejvíce přibližuje. Neplatností nebo neúčinností jednoho ustanovení není dotčena platnost ostatních ustanovení.

Tyto všeobecné obchodní podmínky nabývají platnosti a účinnosti k 21.8.2026.

General Terms and Conditions for the purchase of services and digital content

These General Terms and Conditions (hereinafter referred to as the "Terms and Conditions") are drawn up in accordance with the provisions of Section 1751 et seq. of Act No. 89/2012 Coll., the Civil Code (hereinafter referred to as the "Civil Code") and govern the rights and obligations when concluding a contract with the seller/provider of services and digital content:

I. Introductory provisions

1. These General Terms and Conditions govern the mutual rights and obligations of a natural person who enters into a contract for the provision of services or a contract for the provision of digital content outside his business activity as a consumer, or a natural or legal person in the course of his business activity (hereinafter referred to as "Customer" for these entities) through the  www.lenkaszasziova.cz website and other internet services and projects of the said Provider (collectively, the "Website"). 

2. These General Terms and Conditions define the rights and obligations between the Provider and the Customer, which supplement the concluded Contract and are binding for this contractual relationship. 

3. The provisions of these Terms and Conditions are an integral part of the contract for the provision of digital content or the contract for the provision of services (which, when ordering live events, have the character of a contract for the use of leisure time); The procedure for their conclusion is described below. Deviating provisions in the Digital Content Agreement or Service Agreement shall prevail over the provisions of these Terms and Conditions.

4. In the contractual relationship with the Provider, the Customer agrees to the use of remote means of communication when concluding the contract.

II. Health Disclaimer

1. The customer acknowledges that all products and services are used at their own risk and that it is up to the customer to decide how to use the information and what results they achieve. The Provider is not responsible for the results that the Customer records in connection with the use of the product or service, nor is it liable for any possible material or non-material damage. The Customer acknowledges that the Provider is not a doctor, psychologist or psychotherapist and does not provide health services or psychological care. The Customer also acknowledges that the results of the services are individual and depend on many factors beyond the Provider's control - the course and speed of changes vary for each Customer and the Provider does not provide a guarantee of specific results or their time frame.

2. Before ordering a product or service, the customer is obliged to consult with his/her attending physician, psychologist or psychotherapist and to order the product or service only if it is suitable for his/her health and mental condition. The customer should also consult with their doctor, psychologist or psychotherapist any changes in their health or mental state that occur during the use of the product or service, and continue to use the product or service only with their consent. The customer further acknowledges that products with digital content cannot replace individual consultations.

3. If the Customer uses the Services in a manner that exceeds their purpose or contrary to the Provider's recommendations, despite the warning, the Provider reserves the right to terminate the cooperation in accordance with Article VI of these Terms and Conditions.

4. If the customer requests the performance of a service on a third party or animal, he declares that he is entitled to do so - in the case of minors as a legal representative, in the case of adults with their informed consent, and in the case of animals as their owner or a person authorized to make decisions on their behalf.

5. Any supplementary suggestions, recommendations or tips regarding food, supplementation, herbal remedies, homeopathy, physical activities, exercise or other complementary and supportive methods (e.g. craniosacral therapy, reiki, etc.) that may be made in the course of the provision of services are for informational and educational purposes only. This information does not constitute a medical diagnosis, prescription or treatment plan and its use is entirely at the customer's own discretion and responsibility. The provider recommends consulting the attending physician, physiotherapist, pharmacist or other appropriate professional before using any product or starting a new exercise or therapy.

III. Order and conclusion of the contract

1. The contractual relationship (conclusion of a contract for the provision of digital content and/or conclusion of a contract for the provision of services) between the Provider and its customers is established upon confirmation of the delivered order, which is sent by the Provider to the customer's e-mail address, unless otherwise agreed by the parties.

2. If the Customer provides his/her ID number and invoicing data in the Order, and thus intends to use the Provider's services or products as part of his/her business activity, he/she will not be treated as a consumer within the contractual relationship and his/her contractual relationship with the Provider will be assessed as a contractual relationship between two business persons; if the customer has not provided his/her ID number, it is considered that he/she is in the position of a consumer and the provision of Act No. 634/1992 Coll., on consumer protection, applies to the relationship with the Provider.

3. The Provider's website contains a list and description of the services and digital content offered (collectively referred to as the "Products"), including the price of individual products and, if applicable, special conditions for their use.

4. To place an order, the customer makes the appropriate choice on the website and fills in the order form, confirms his purchase with the appropriate button expressing consent to the purchase and notifying him of the obligation to pay. The Provider reserves the right to arrange a different method of ordering individually (e.g. as part of an agreement via electronic communication), but will always confirm the customer's order by e-mail or other message via electronic communication. 

5. The order form on the Provider's website contains in particular information about the ordered product and mandatory data to be filled in for the purposes of concluding the contract and invoicing, as well as any other important information about the products and payment.

6. The Provider shall confirm receipt of the order to the Customer without undue delay after receiving the order, usually by e-mail, to the Customer's e-mail address.

7. The Provider is not obliged to accept the order and conclude a contract with the customer. This reservation is agreed in particular for persons who have substantially violated the rights or legitimate interests of the Provider, its related persons or these Terms and Conditions, or for persons who are in a competitive position with the Provider or where the Provider has a reasonable suspicion that the use of the Provider's products could lead to damage to the name or business of the Provider.

8. The Provider reserves the right that the services and products presented within the Internet services provided by the Provider may not always be available (e.g. time-limited courses, etc.).

IV. Price and payment terms

1. The Customer shall gain access to the Products upon payment of the full specified price, unless otherwise specified in the Order Form or in the description of the Service or Product.

2. The order form shall state the price of the service or product and the method and form of payment. In the case of payment of the price on the basis of an invoice or a proforma invoice, the payment period is set at 7 days. The Provider is entitled to change the due date, provided that the Customer receives this information no later than in the confirmation of their order.

3. Tax document – the invoice shall be sent by the Provider in electronic form to the Customer's e-mail address.

4. In the event that the Customer fails to pay the price within 5 days after its due date, this is a material breach of the Customer's contractual obligations and the Provider is entitled to withdraw from the Contract, provided that the Contract is cancelled from the beginning.

5. The payment method is chosen by the customer or is specified when filling in the order form. The payment is successfully completed by displaying a confirmation message. In the event of an unsuccessful payment, the customer is informed by a message displayed on the payment page. 

6. Payment methods may be connected to the payment gateway of an external supplier (GoPay, operated by GoPay Czech branch, ID 22177469 and Stripe, operated by Stripe Payments Europe Limited with its registered office in Ireland, ID No.: 513174), which provides technology for secure processing of online payments. 

7. In the event that the Provider allows the payment of some of its products in instalments, the Customer is obliged to pay the full price of the agreed product (including any price increase due to the instalments provided), even if the Customer decides not to use the product in its entirety due to circumstances on its part or terminates the use of the product prematurely. If the Customer stops paying the agreed instalments, the Provider is entitled to deny the Customer access to the Product purchased in instalments (including bonuses related to the purchased Product) until the full agreed price of the Product has been paid. In accordance with the provisions of the Civil Code, in the event of the Customer's delay in paying any instalment, the Provider is entitled to demand payment of the entire unpaid price of the product at once (loss of the benefit of instalments).

V. Delivery terms for products

1. Products 

(i) Individual sessions 

This arrangement applies to all types of individual email, online, telephone or live sessions and consultations in the so-called 1:1 mode, including sessions or consultations that are part of service packages. The provider will arrange a date for the session with the customer by direct agreement or through the reservation system. Before the session or consultation, it is possible to request a change of date for particularly serious reasons on the part of the customer (e.g. illness, etc.) no later than 24 hours before this event. This option can be used only once within a given product or service (or package), otherwise the scheduled appointment will be forfeited without compensation and the Provider is entitled to payment of the full price, due to the binding reservation of the date for the customer. In cases worthy of special consideration, it is possible to request an individual agreement, but the right to change does not arise automatically. This arrangement does not affect those products and services where mass face-to-face or online consultations or online workshops for a group of participants are arranged; In this case, an individual change of dates is excluded and the date without compensation is forfeited. The Provider stipulates that individual sessions or consultations (even in the case of packages, unless otherwise specified in the product description) must be selected within a predetermined period, after the expiry of this specified period, the entitlement to the use of these services without compensation is forfeited. Once a binding agreement on the date is reached, the Customer cannot postpone or reschedule the session, unless otherwise agreed with the Provider. The Provider reserves the right to provide more detailed rules for sessions and consultations on its website. This Agreement shall apply mutatis mutandis to consultations provided via e-mail. If the Provider is unable to provide the service on the agreed date for reasons on its part (illness, technical problems, etc.), it shall inform the Customer without undue delay, no later than 24 hours in advance, if possible. The Customer is entitled to an alternative date according to the capacity of the Provider, or to a refund of the price paid if the Customer is not interested in an alternative date, or to the provision of an alternative service of a similar value by mutual agreement. In the event of the impossibility of providing the service due to force majeure reasons (internet failure, power outage, natural disaster, etc.), the Provider proceeds similarly, but is not liable for any damages incurred by the Customer. This provision does not apply to situations where the customer fails to comply with the technical requirements necessary for the use of the service.

(ii) Online courses

When purchasing an online course, the Provider may create a user account for the Customer after payment of the price, or the course is disseminated in another way (e.g. e-mail form, etc.). The Provider shall inform the Customer in advance of the method of dissemination of the course. If it is effective with regard to the continuity of content, individual lessons will be made available gradually, according to the schedule set by the Provider.

(iii) Materials to download or view

In the case of products that are downloaded from the web environment (pdf materials, audio recordings, webinar recordings and other audiovisual recordings, etc.) or that can be viewed from a recording, the Provider will send Customers links or other access data on the basis of which they will be able to download or view the purchased product. The condition for sending such links or access data is the full payment of the price of such product or the fulfilment of other conditions set by the Provider (e.g. entering personal data into a form, etc.). 

(iv) Group online consultations and group meetings (webinars, etc.)

Group online consultations and meetings for a group of participants will be delivered according to the terms and conditions specified in the service description on the website. In the case of group online events, it is not possible to request a change of date for reasons on the customer's side, and in the event of non-participation, the paid price or part thereof will be forfeited. The Provider reserves the right to cancel an online group event (in whole or in part, such as one lesson or meeting) in the event of a lower number of registered customers or force majeure. In such a case, the Provider will inform the Customers in a timely manner, as well as about the adopted solution (change of date, refund of the price, etc.). In the case of online group programs that have the character of a leisure event, withdrawal from the contract in accordance with Article VI of these Terms and Conditions is excluded.  

2. Service and product packages

The Provider expressly stipulates that in the event of the purchase of a "package" or otherwise assembled product, the funds paid for these components of the package will not be refunded if all components are not used for reasons on the part of the Customer; The price is set for the package, not for its (exhausted) parts. The Provider is also entitled to set a deadline or period when the products included in the package can be used. After the expiration of the specified deadline or period, the right to draw products from the package or to request substitute performance without compensation is forfeited.

3. Common rules

i) In the event that the Provider creates user accounts for its customers for the use of certain services, the customer is obliged to maintain the confidentiality of access data to their user account and not to allow third parties to use them. A breach of this obligation is considered a particularly serious breach of contractual obligations with the Provider's right to this contract due to a breach of the said obligation to withdraw and deny such a customer further provision of products and services. In this case, the customer is not entitled to a refund of the price paid. The Customer also undertakes to keep the data provided in the User Account up-to-date and true.

ii) The Provider reserves the right to exclude the Customer from participation in an online course, workshop, including participation in the Provider's groups, or from online group meetings, webinars, live events, etc., if the Customer disrupts the functioning of the group, the course of the event or meeting (e.g. by inappropriate behavior, insulting the Provider, other participants, etc.). In the event of exclusion for the reasons specified in this paragraph, it is a material breach of contractual obligations by the customer and the Provider has the right to withdraw from the contract and deny such customer further provision of products and services. In this case, the customer is not entitled to a refund of the price paid.

iii) The Provider reserves the right to provide products only for the period specified in the description of a specific service or product, when the specified period runs from the payment of the price for the product by the Customer. In the event of circumstances on the part of the Provider that consist in the need to extend the provision of the period of the ordered service, the Provider is entitled to extend the period of the service provided. Unless otherwise stipulated by the Provider, access to digital content and other materials that are part of the services provided is allowed for a period of 12 months from the date of conclusion of the contract. 

iv) These Terms and Conditions also govern the legal relations between the Provider and the Customer, if the Provider provides digital content for personal data instead of remuneration, the so-called "magnet" (and the Provider processes the provided personal data for purposes other than the provision of digital content or the fulfilment of its legal obligations).

v) The Provider shall make the purchased digital content available to the Customer in the latest version available at the time of concluding the contract for the provision of digital content with the Customer. Unless otherwise specified in the product description, the Provider does not provide updates to the purchased digital content, except for updates that are necessary to keep the digital content free of defects for the entire duration of the contract.  

vi) The digital content supplied by the Provider is in completely standard, commonly available formats (in the case of downloadable materials, usually in the form of pdf, recordings in the form of mp3 or mp4, videos are usually disseminated via the YouTube or similar platform, for online meetings the Provider uses Zoom or other similar platforms). For the use of digital content, customers need standard equipment (hardware with an Internet connection supporting the above technologies; digital content formats provided by the Provider do not require the purchase of special hardware or software equipment). The Provider is not responsible for the fact that the digital content or access to online lessons will not be available to the Customer for technical reasons or due to the Internet connection or similar circumstances on the part of the Customer and is not obliged to provide any compensation for this reason. 

vii) Through these Terms and Conditions, the Customer is notified in advance within the contractual relationship with the Provider (unless he expressly refuses his consent in advance, which he has the right to do) that if the purchased service or product includes a group online lesson or online workshop taking place via a digital platform (Zoom, etc.), the Provider may make a recording of such a lesson or workshop and use it for its other purposes, including its dissemination via the Internet or e-mail within the framework of the their business activities. The customer will always be notified of such a case in advance. This provision does not affect personal individual services, where the recording is made only for the personal use of the customer. 

viii) The Customer acknowledges that the facts that he has learned through the Provider's services about the products, services and other business matters of the Provider and/or third parties (other customers of the Provider) that are not commonly known and available are subject to the obligation of confidentiality and the Customer is not entitled to disseminate them in any way. 

4. AI Tool - Subscription 

Unless otherwise specified, these common rules shall apply to services and disposable products. These General Rules shall apply to services and one-off products. To the AI Tool subscription, they shall apply only to the extent expressly stated in the 'AI Tool - Subscription' section.

The provider provides an AI tool based on a regular monthly subscription:

(i) Subscriptions

The AI tool's subscription works in the form of regular payments for a selected period (monthly, quarterly, yearly), where the customer pays the price for the entire subscription period in advance. After the expiration of the selected period, the subscription is automatically renewed for the same period and the customer is sent an invoice in advance of the renewal of the subscription, which will be provided through automatic deduction of payments through the payment gateway service provider. Customer may cancel the automatic renewal of the subscription by sending an email to the Provider or via the "/stop" command directly in the AI interface of the tool, at the latest before the subscription renewal date. However, until the termination message is sent, the Customer is bound by the subscription and is bound by recurring periodic subscription payments for a specified period of time. The AI tool subscription is intended for customer use only, not for sharing access with the customer's Customers or other persons other than the customer.

The subscription provider sets up tariffs at different levels of the possibility of using the AI tool, with the possibility for subscribers to purchase one-off packages to increase the tariff if the tariff is exhausted. The upgrading plan (the unused portion of it) can be carried over between months of the subscription until it is exhausted. Details shall be provided by the Provider on its website.

Customers using the Provider's services (individual sessions) may also be allowed to purchase one-off message packages as a supplement to these services. These packages are not tied to a subscription to the AI tool, are not subject to automatic renewal, and are valid until they are exhausted or until the time specified by the Provider. The unused portion of the package can be carried until it is exhausted. Details shall be provided by the Provider on its website.

(ii) Availability

For the technical solution of the AI tool, the Provider uses a third-party platform and therefore cannot influence the continuous availability (100% operation) of the AI tool. In the event of a long-term outage of the AI tool (namely more than 24 hours of unavailability in an individual month, when this sum of the unavailability of the AI tool is called the "limit"), the Provider undertakes to refund a proportional part of the subscription for the period from reaching the limit until the AI tool is available again. The length of the outage is determined based on the data of the third-party platform provider.

(iii) Making the AI tool available

The AI tool is made available to customers via the Telegram application, using voice, text, and data files (pdf, jpg, docx, etc.). All data is encrypted and processed only to the extent necessary for the operation of the AI tool in accordance with the Provider's Personal Data Processing Policy.

(iv) Withdrawal Information

When providing this product, it is possible to withdraw from the contract, even without giving reasons, within 14 days of its conclusion in accordance with Article VI of these Terms and Conditions.  

(v) Other Arrangements

The access account to the AI tool is non-transferable between users and if the customer violates this prohibition and provides their account to a third party, the Provider is entitled to withdraw from the agreement for the provision of the AI tool with the customer without further notice and demand payment for the damage caused.

The information contained in the AI tool may be subject to the protection of the Provider's intellectual property rights (the AI tool corpus contains the Provider's know-how) and may not be used otherwise than for the Customer's personal use without the express written consent of the Provider.  

(vi) Reservation

A reservation is agreed for the use of the AI tool. The Customer acknowledges that the Provider's AI tool is created for the purpose of providing non-binding information and is regularly updated by the Provider. However, this is general information obtained through the use of artificial intelligence tools adapted to the Provider's area of services, but it is in no way the provision of health services, medical diagnostics, psychotherapeutic services, etc. The Provider is not responsible for: a) specific answers provided by the AI tool, b) the application of specific advice and recommendations obtained from the answers of the AI tool, c) any other outputs that the Customer obtains through the AI tool.

In the event of a suspicion of illness (even of a psychological nature), the customer is aware that it is necessary to seek the services of a doctor or other health care professional, or a psychotherapist. Furthermore, the provisions of Article II and Article VIII of these Terms and Conditions shall apply.

The customer further acknowledges that the AI tool does not replace the completion of certification education of methods by Dr. Bradley Nelson (Emotional Code, Body Code, Belief Code).

VI. Withdrawal from the contract

1. The Customer is entitled to withdraw from the contract concluded with the Provider, if so stipulated in the concluded contract, these Terms and Conditions or the relevant provisions of the Civil Code. In general, the customer in the position of a consumer has the right to withdraw from the contract within 14 days from the date of conclusion of the contract in the case of contracts concluded remotely pursuant to Section 1829 of the Civil Code. This right is excluded for the customer in the position of an entrepreneur.

2. Notice of the exception to the withdrawal from a distance contract for digital content for consumers: unless otherwise specified for a specific product of the type of digital content, the Provider informs the customer through its website and the customer expressly agrees through the options on the Provider's website that the digital content is made available to him immediately after payment of the purchase price. In such a case, the customer loses the right to withdraw from the contract within 14 days of the conclusion of the contract for the provision of digital content. Due to these circumstances worthy of special consideration, the possibility of withdrawing from the distance contract within the specified period and requesting a refund of the full price paid is excluded for digital content offered through the website or other internet services of the Provider. 

3. The Customer in the position of a consumer is entitled to withdraw from a contract for the provision of digital content concluded remotely if the Provider fails to deliver the digital product immediately after payment or within an additional period specified by the customer (unless a later delivery date is explicitly specified in the product description).  The Customer may withdraw from the contract without an additional period only if it is obvious from the Provider's statement or from the circumstances that the Provider will not provide the digital content or if it follows from the agreement of the parties or from the circumstances at the conclusion of the contract that the performance is necessary within the specified time. However, it is expressly stipulated that this arrangement does not apply in the case of so-called pre-sales and other cases where a later date of delivery of the performance is set.

4. Arrangement of live events set on a certain date and for a certain period is considered a contract for the use of free time and withdrawal from the contract by the consumer is expressly excluded in accordance with Section 1837(j) of the Civil Code.   

5. The customer in the position of a consumer does not have the right to withdraw from the contract for the provision of services if they have been provided in full and the performance has begun with the customer's consent before the expiry of the 14-day withdrawal period. If the services have been provided only partially, the customer may withdraw from the contract, but is obliged to pay the Provider the amount for the performance that was provided before the withdrawal from the contract. If the Price for Services has already been paid, the Provider will refund the Customer only the amount for the non-provided services.

6. The Customer may withdraw from the contract by means of a public withdrawal form available through a button or a similar control element located on the Provider's website in the footer of the website and marked with the inscription "Withdraw from the contract" or similar. Furthermore, the Customer may withdraw by e-mail to the address specified in the header of these Terms and Conditions or in writing to the address of the Provider's place of business specified in the introduction to these Terms and Conditions. The customer may also use the model withdrawal form attached to these Terms and Conditions. It is demonstrably sufficient to send the withdrawal from the contract to the Provider on the last day of the 14-day period from the conclusion of the contract. In the event of a duly made withdrawal from the contract, the Provider shall confirm the acceptance of the withdrawal to the Customer in text form without undue delay and shall return the received funds no later than 14 days after the acceptance of the withdrawal. 

7. The Provider is entitled to withdraw from the contract if it is not possible to provide the digital content or service under the original terms and conditions for objective reasons, the performance becomes objectively impossible or illegal, in the event of a material breach of these terms and conditions or the contract by the customer, in particular due to offensive and similar conduct of the customer, as well as if in the course of cooperation it turns out that the product or service is not suitable for the customer's health or mental state,  or in the event of unauthorized interference with the web interface, violation of copyright or confidentiality obligations, etc. In the event of withdrawal, the Provider is entitled to immediately make the digital content unavailable to the customer and to cease to provide all services to the customer. The Provider's withdrawal will always be justified for reasons stipulated by law or specified in these Terms and Conditions. Withdrawal is effective upon delivery of a notice to the customer. 

VII. Complaints policy for the purchase of services and products

1. The Customer is entitled to exercise its rights arising from defective performance in the event that the provided service or digital content shows a defect or other contradiction with the contract and the order. The rights arising from defective performance are governed by the applicable legal regulations, in particular sec. 1914 to 1925 of the Civil Code. The provisions of Sections 2099 to 2112 of the Civil Code shall apply mutatis mutandis to the services and in connection with Sec. 2615 also the provisions on the contract for work. For digital content, the rights are governed by the provisions of Sections 2389a to 2389s of the Civil Code (for consumers, in particular, Sections 2389g to 2389s of the Civil Code).

2. The Provider shall be responsible for ensuring that the Service or Digital Content is free of defects upon receipt (making available) and is provided in accordance with the Contract. The Customer is obliged to report the defect to the Provider without undue delay after its discovery, by e-mail to the address specified in the header of these Terms and Conditions, or via the appropriate form on the Provider's website. In the complaint, the customer shall provide his/her identification data, the designation of the product or service, a description of the defect complained of and the required method of handling the complaint.

3. A customer in the position of an entrepreneur is obliged to complain about the defect without undue delay after he could have discovered it during a timely inspection and sufficient care. A customer in the position of a consumer is entitled to complain about a defect in a service without undue delay after it has been discovered, while the right arising from the defect is time-barred within three years. In the case of digital content provided on a one-off basis, the consumer may complain about a defect that becomes apparent within two years of its disclosure (Section 2389o of the Civil Code). In the case of digital content or services provided for a certain period of time, the Provider is liable for defects that occur throughout their duration (Section 2389p of the Civil Code). 

4. The Provider is responsible for ensuring that the service is provided in the scope, form and quality that has been agreed, described in the offer on the website, or that is usual for the given type of services (in medium quality). The Customer must complain (complain) about the defect in the service to the Provider without undue delay after having had the opportunity to discover the defect, no later than 6 months after taking over the service. The Customer may primarily request the removal of the defect in the Service free of charge (e.g. an alternative date or additional provision of the missed part of the consultation), if possible. If the removal of the defect is not possible or the Provider refuses it, the Customer may request a reasonable discount on the price or withdraw from the contract. The customer is not entitled to withdraw from the contract if the defect is insignificant. The reasonable discount is determined as the difference between the value of the service without defect and the value of the defectively provided service. If the service is to be provided for a certain period of time, the period for which it was provided defectively shall be taken into account. 

5. The Provider is responsible for ensuring that the Digital Content corresponds to the agreed description, scope, functionality, compatibility and is supplied with all accessories and instructions for use. In the event of a defect in the digital content, the customer may primarily request its removal (e.g. resending of a functional file or restoration of access to the members area), unless this is impossible or unreasonably expensive. If the Provider fails to remove the defect within a reasonable time, refuses to remove it, or the defect manifests itself even after the repair, the Customer, as a consumer, has the right to a reasonable discount or to withdraw from the contract. It is not possible to withdraw from the contract if the defect in the digital content is insignificant.

6. Without undue delay after receiving the complaint (usually within 3 working days), the Provider will confirm to the Customer's e-mail address the receipt of the complaint, the date of application and the expected time of its settlement. The Provider, including the removal of the defect, shall settle the complaint without undue delay, but no later than 30 days from the date of its application, unless the Provider agrees on a longer period in writing with the Customer. After the expiry of this period in vain, the consumer has the right to withdraw from the contract or request a reasonable discount. The Provider shall notify the Customer by e-mail of the result and manner of handling the complaint.  If the complaint is recognized as justified, the customer is also entitled to reimbursement of the reasonably incurred costs associated with the complaint, which the customer proves.

7. The Provider shall return the sums of money to be paid by the Provider to the Customer due to defective performance (due to a reasonable discount or withdrawal from the contract) at its own expense without undue delay, but no later than 14 days from the date on which the Customer exercised the relevant right arising from the defective performance. Refunds will be issued in the same manner as the price was originally paid, unless the customer expressly agrees to a different method of return.

8. A complaint cannot be filed only because the service or digital content provided did not meet the customer's subjective expectations or ideas. A complaint is justified only in the event of an objective conflict with the contract, product description or applicable legal regulations.

VIII. Copyright and confidentiality

1. All content on the Website and all Products are the copyright work of the Provider. The Provider makes the Product available to the Customer exclusively for their own personal use. The Product (or any part thereof), whether in its original or modified form, may not be shared, copied, distributed or made available to other persons without the prior express written consent of the Provider.

2. The customer is obliged to maintain confidentiality regarding the access data to the purchased products and digital content, including access to the AI tool via the Telegram application. The Customer is not entitled to provide these access data or the access itself to third parties.

3. In the event that the Customer violates copyright or confidentiality obligations, the Provider is entitled to immediately and without compensation disable access to the Digital Content of the Product and access to the AI tool to the Customer and to demand the release of unjust enrichment and damages. These monetary claims of the Provider are payable within 14 days from the date of delivery of the request for payment to the Customer's e-mail address. Copyright infringement is also punishable under the Copyright Act and criminal law.

IX. Final Provisions

1. The Provider provides products to the extent and in the manner specified in their description on the Website. The Provider is not responsible for the fact that after using the service provided by the Provider, the Customer automatically receives a personal or health benefit or other specific benefits and results. The Provider expressly warns the Customer that it does not provide health services or psychotherapeutic services and warns the Customer that in the event of health problems (including mental health disorders) it is necessary to seek a doctor with a professional specialization or other health care professional. The use of the Provider's services and the application of the experience gained is entirely the responsibility and assessment of the suitability of use on the part of the customer. The Provider expressly points out that the information on its website is for informational purposes only and is not intended in any way for the diagnosis, prevention or treatment of diseases, including psychiatric diseases. All published Customer experiences and reviews do not constitute a guarantee, guarantee or prerequisite for the same consultation result, they are only their individual experiences.  

2. In the event of a dispute between the Provider and the consumer, the parties undertake to try to reach an amicable solution. The consumer has the right to an out-of-court settlement of a consumer dispute with the Czech Trade Inspection Authority (Central Inspectorate - ADR Department, Štěpánská 15, 120 00 Prague 2, website: www.coi.cz, e-mail: adr@coi.cz). 

3. Any evaluation of the Provider's products or services (reviews) that is provided on the Provider's website or social networks comes from customers who have actually purchased the product or service and whose order is registered in the Provider's system.

4. Provisions deviating from the Terms and Conditions may be agreed in the contract concluded between the Provider and the Customer. Deviating provisions in the contract take precedence over the provisions of the General Terms and Conditions.

5. The provisions on personal data protection and the handling of cookies can be found in other sections of the Provider's website.

6. The Provider designates a single point of contact, which is its e-mail address specified above in these Terms and Conditions, through which it is possible to communicate with the Provider in Czech or English.

7. The wording of these General Terms and Conditions may be changed or supplemented by the Provider and these changes are effective upon the publication of the new General Terms and Conditions (their amendments) on the Provider's website. This provision is without prejudice to the rights and obligations arising during the period of effectiveness of the previous wording of the Terms and Conditions.

8. The provisions of these Terms and Conditions are governed by Czech law, including for customers with a domicile other than the Czech Republic. 

9. If any provision of the Terms and Conditions is invalid or ineffective, or becomes invalid, the invalid provisions shall be replaced by a provision whose meaning is as close as possible to the invalid provision. The invalidity or ineffectiveness of one provision shall not affect the validity of the other provisions.

10. All legal relations arising between the Provider and the Customer shall be governed by the laws of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, as amended. The choice of Czech law does not deprive the consumer of the protection afforded to them by mandatory provisions of the law of the country of their habitual residence, which cannot be derogated from by agreement.

These General Terms and Conditions enter into force and effect on 21.8.2026.
